Welcome to Vakayo, a hotel booking platform operated by Roomfilla Pte Ltd, a company incorporated in Singapore ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.
1. Acceptance of Terms
By making a booking or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.
3. Booking and Reservations
3.1 Our Role as an Intermediary
Vakayo operates as an intermediary booking platform. We facilitate accommodation bookings by connecting you with hotels, hostels, and other accommodation providers through our booking network. When you make a booking through Vakayo, you are entering into a contract directly with the accommodation provider, not with Roomfilla Pte Ltd. We act solely as a facilitator to enable and process these bookings on your behalf.
3.2 Booking Process
The booking process works as follows:
- Browse available properties and view room types, amenities, and pricing
- Review the rate details including the cancellation policy, which is clearly displayed before you book
- Select your preferred property and room type
- Submit a booking request with your travel details
- Receive an email from us with a payment link to confirm your reservation
- Complete payment within the specified time period to secure your booking
- Upon successful payment, you will receive a booking confirmation
3.3 Pricing and Payment
- All prices are displayed in the currency specified and include applicable taxes unless stated otherwise
- Payment is required via the payment link sent to you after submitting your booking request
- We accept major credit cards and other payment methods as displayed on our platform
- Your booking is not confirmed until payment is successfully processed
- Additional fees (e.g., resort fees, tourist taxes) may be charged directly by the accommodation provider
- Currency conversion rates (if applicable) are approximate and subject to change
3.4 Booking Confirmation
Upon successful payment, you will receive a booking confirmation email with your reservation details and reference number. Please review this information carefully and contact us immediately if you notice any discrepancies. Your booking is only finalized once you receive this confirmation email.
3.5 Accuracy of Information
While we strive to provide accurate information about accommodations, amenities, and pricing, we cannot guarantee that all details are always up-to-date or error-free. Accommodation providers are responsible for the accuracy of their listings.
4. Cancellations and Modifications
4.1 Cancellation Policy
Each accommodation and rate has its own cancellation policy set by the accommodation provider. The specific cancellation policy for your booking is clearly displayed on the rate selection screen before you submit your booking request. By proceeding with a booking, you acknowledge that you have read and accepted the cancellation policy applicable to your reservation. Cancellation and modification requests are subject to the terms displayed at the time of booking.
4.2 Refunds
Refund eligibility and processing times depend on the accommodation provider's cancellation policy and the terms of your booking. We will facilitate refunds in accordance with the applicable policy, but we are not responsible for refund decisions made by accommodation providers.
4.3 No-Shows
If you fail to arrive at the accommodation without prior cancellation, you may be charged the full booking amount in accordance with the accommodation provider's no-show policy.
5. User Conduct
You agree not to use our Services to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others, including intellectual property rights
- Transmit any harmful, offensive, or inappropriate content
- Engage in fraudulent, deceptive, or misleading activities
- Interfere with or disrupt the functionality of our Services
- Attempt to gain unauthorized access to our systems
- Use automated tools (bots, scrapers) without our prior written consent
- Make false or fraudulent bookings
6. Intellectual Property
All content on our Services, including text, graphics, logos, images, software, and design elements, is the property of Roomfilla Pte Ltd or our licensors and is protected by copyright, trademark, and other intellectual property laws.
You may not copy, reproduce, distribute, modify, or create derivative works from our content without our prior written permission. The Vakayo name and logo are trademarks of Roomfilla Pte Ltd and may not be used without authorization.
7. Third-Party Services
Our Services may contain links to third-party websites, services, or resources that are not owned or controlled by us. We are not responsible for the content, policies, or practices of any third-party sites. Your use of third-party services is at your own risk and subject to their terms and conditions.
8. Limitation of Liability
To the maximum extent permitted by law:
- Vakayo and Roomfilla Pte Ltd act solely as intermediaries between users and accommodation providers
- We are not responsible for the quality, safety, or legality of accommodations listed on our platform
- We do not guarantee the accuracy or reliability of information provided by accommodation providers
- We are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of our Services
- Our total liability to you for any claims related to our Services shall not exceed the amount you paid to us in the 12 months preceding the claim
9. Disclaimers
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that:
- Our Services will be uninterrupted, secure, or error-free
- Any defects will be corrected
- Our Services are free from viruses or harmful components
- The information provided is accurate or reliable
10. Indemnification
You agree to indemnify, defend, and hold harmless Roomfilla Pte Ltd, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of our Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your conduct in connection with the Services
11. Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.
11.2 Dispute Resolution Process
In the event of any dispute, claim, or controversy arising from these Terms or your use of our Services, you agree to first contact us at support@vakayo.com to attempt to resolve the issue informally.
11.3 Arbitration
If we cannot resolve the dispute informally within 30 days, any disputes shall be resolved through binding arbitration in accordance with the Singapore International Arbitration Centre (SIAC) rules. The arbitration shall take place in Singapore, and the language of arbitration shall be English.
11.4 Jurisdiction
You agree to submit to the exclusive jurisdiction of the courts of Singapore for any disputes that cannot be resolved through arbitration.
12. Termination
We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment or chargebacks
- Abusive behavior toward our staff or accommodation providers
Upon termination, your right to use our Services will immediately cease, but certain provisions of these Terms (including disclaimers, limitations of liability, and dispute resolution) will continue to apply.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published on our Services, constitute the entire agreement between you and Roomfilla Pte Ltd regarding your use of our Services.
